WHOLESALE POLICY

(Last Revised: 12/2009)
Purpose
Through this policy, Shenology Inc. dba Shen Life (hereunto referred as, “SI”) hopes to protect its brand image and reputation, and intends to encourage those reselling its products to provide effective and meaningful support to SI and the end user consumers of its products. Accordingly, to better provide for the continuing sale of our high quality innovative and effective products and related items and to position SI properly in the market place, SI has adopted unilaterally this resale price policy (the ”Policy”). The Policy applies to all US customers which purchase SI’s products through our Wholesale Program (the “Products”) and which resell any of those products (“Reseller”).

The Policy does not constitute an agreement and is subject to change to change by SI at any time. Purchasers of SI’s products should not communicate to SI their acceptance or compliance with this policy. The Policy is not subject to negotiation.

The Policy

1. Terms and Conditions
For an order to be eligible to participate in SI’s Wholesale Program (the Program) and to qualify for the discount available under the Program, you must meet the following guidelines:

a. Each order must be a minimum of 6 units per item, unless other arrangements are made with the Administrator.

b. Each order must be for one or more of the following SI products (the “Products”) and does not include any other products:
•ShenTrition Formula
•Shen Tonic (not available after April 2010)
•Shen Cleanse: 15-Day Detox Tea System (not available after April 2010)
•Advanced Cleanse 15 Day Herbal Cleanse (not available after April 2010)
•Shen Rem Tea (not available after April 2010)
•Shen Agua Mineral Solution (not available after April 2010)

c. For the purpose of these guidelines, an order will include all purchases made during the course of the same calendar day up to 7pm PST.

d. The only purchases that qualify for this program are for personal use or for resale to the consumer end user of the Products. SI will not conduct business with any person or company that sells the Products to any person or company engaged in reselling the Products. The term personal use includes the individual purchaser, his or her family members and members of his or her church.

e. Products purchased through this Program cannot be offered, sold promoted, advertised or in any manner provided on any Internet site whatsoever or through any catalogue.

f. Products purchased through this Program can not be offered, sold, promoted, advertised or in any manner provided on any internet auction site, including but not limited to ebay.com; auctionweiser.com; auctionaddict.com; bidz.com; yahoo.com;MSN.com; amazon.com; auction-warehouse.com; auctionet.com; auctions.com; dealspin.com; fairauction.com; ubid.com; auctionspace.com; internetauctionlist.com; itsgottogo.com; buyitsellit.com; auctionguide.com and epier.com

g. You cannot participate if you promote any of the Products in print, over the Internet, on television, on the radio or using any similar media without the express permission of SI.

h. Violator of SI’s Resale Price Policy do not qualify for this Program.

i. SI reserves the right to modify, extend, suspend, discontinue or rescind in whole or in part the Program at anytime.

2. Violations
Although each Reseller remains free to establish its own retail prices, SI will without assuming any liability immediately remove that Reseller from its list of customers approved to purchase the Products. Customers will not be removed from the list of approved customers unless SI verifies to its satisfaction that the Reseller has violated this Policy. A Reseller may violate this Policy in any or all of four ways:

a. By offering (through advertising, promotion or otherwise and regardless of place or medium used), by selling (in-store, on-line through a catalog or otherwise) or by providing except in exchange for bona fide returns, one or more of the Products in the US at a net retail price less than the then current minimum resale price (the “Minimum Price”) established by SI. The Minimum Price for each of the Products will be shown as the then-current version of SI’s web store at: www.getshen.com.

b. By offering, selling providing one or more of the Products on any Internet site whatsoever or through any catalogue.

c. By offering, selling providing one or more of the Products on any internet auction site, including but not limited to: ebay.com; auctionweiser.com; auctionaddict.com; bidz.com; yahoo.com;MSN.com; amazon.com; auction-warehouse.com; auctionet.com; auctions.com; dealspin.com; fairauction.com; ubid.com; auctionspace.com; internetauctionlist.com; itsgottogo.com; buyitsellit.com; auctionguide.com and epier.com

d. By advertising or promoting in print, over the Internet, on the television, on the radio, or using any similar media any of the Products without express permission of SI.

3. Results of Violations
Effective as of the date of removal as a customer of SI’s Products, all pending orders from the Violator for any of the Products will be cancelled and no new orders for any of the Products will be accepted.

4. Net Retail Price
For purposes of the Policy, “net retail price” means the lower of the price at which a SI Product is offered to a Reseller to a retail customer or end user or the price actually paid to a Reseller for an SI Product by that Reseller’s retail customer, which is determined by:

a. Making sure that all discounts, coupons, deductions, rebates and allowances made available or actually provided to the customer are taken into account;

b. Excluding all applicable taxes and all shipping, delivery and insurance chargers, IF paid by the customer; and

c. Subtracting, in the case of free or reduced-price goods or services and similar benefits provided by that Reseller to its customers (whenever given, regardless of source and considered by SI to be part of such offer or sale of any of the Products), the fair market resale value (as determined by SI) of all such goods, services and benefits and, in case of reduced-price goods or services and similar benefits, the excess of the fair market resale value over the amount to be paid or actually paid for them.

5. Exemption
This Policy is not violated if a Reseller offers or sells one or more of the Products below the Minimum Price based on advertising and promotional materials in existence and that can not reasonably be modified prior to the effective date of this Policy. However, this exemption only applies until such time that it is reasonable to revise such materials to conform to this Policy.

If SI determines that a Reseller does not qualify for or abused this exemption, such exemption will be deemed withdrawn by SI. Except in extraordinary circumstances, SI will not consider any requests for other exemptions from this Policy.

6. Inventory Repurchase
SI reserves the right to repurchase the Violator’s unopened inventory of Products in their original packaging, at SI’s sole discretion and at reasonable terms of its choosing, including but not limited to a restocking fee.

7. Additional Policy Terms
This Policy may be modified, extended, suspended, discontinued or rescinded in whole or in part by Notice from SI at any time. Any such Notice will describe the duration and nature of any such modification, extension, suspension, discontinuation or rescission of the Policy by SI. If there is any disagreement over the interpretation or enforcement of this Policy, SI’s view will control.

SI will not discuss any conditions of acceptance related to this Policy. In addition, SI neither seeks nor accepts any assurance of compliance with this Policy. Notwithstanding anything to the contrary which may be expressed or implied in any communication between a Reseller and SI, nothing therein will constitute an agreement by such Reseller to comply with this Policy.
